MicroPort Names Jonathan Chen CEO as Director Steps Down

MicroPort Scientific appoints Jonathan Chen as CEO, says a director resigned

Chinese medical device manufacturer MicroPort Scientific has appointed Jonathan W. Chen as its new chief executive officer, while announcing the resignation of company director Zhaohua Chang.

The company disclosed the leadership changes in a filing to the Hong Kong stock exchange on Sunday, saying Chen’s appointment took effect on October 22.

Chen has also been appointed an executive director and an authorised representative of the company. He will oversee MicroPort’s day-to-day management and report directly to the board, according to the filing.

The appointment forms part of a planned adjustment to the company’s management and governance structure, with MicroPort saying it would review its existing arrangements and introduce a CEO-led management system.

Under the proposed structure, the company will establish a President’s Office to assist the chief executive in carrying out his responsibilities and managing the business.

The changes are expected to redefine management responsibilities and establish a more direct reporting arrangement between the chief executive and the board.

Meanwhile, Chang has resigned as a director and from related positions at the company, citing “other personal commitments”.

Despite stepping down from the board, Chang will retain his position as MicroPort’s chief scientific officer, allowing him to continue in a scientific leadership role within the business.

The company said Chang had no disagreement with the board, according to the filing, offering no indication that his departure from the directorship was linked to a dispute over the company’s management or direction.

MicroPort Scientific is a medical technology company involved in the development and manufacture of medical devices. Its latest announcement signals a change in its executive leadership and governance arrangements, although the filing did not provide further details on the reasons for the planned structural review.

The leadership changes come as the company prepares to operate under a CEO-led management structure, with Chen taking responsibility for daily operations and reporting directly to the board.
